<p>These Terms of Service (these "Terms") set forth the conditions for using the online shop (the "Service") provided on this website by Izuya Co., Ltd. (the "Company"). Registered users ("Users") shall use the Service in accordance with these Terms.</p>
<h2>Article 1 (Application)</h2>
<ol>
<li>These Terms apply to all relationships between Users and the Company regarding use of the Service.</li>
<li>The Company may establish various rules and provisions for the Service in addition to these Terms ("Individual Provisions"). These Individual Provisions, regardless of their name, constitute part of these Terms.</li>
<li>If these Terms conflict with the Individual Provisions of the preceding paragraph, the Individual Provisions prevail unless otherwise specified therein.</li>

<h2>Article 2 (Registration)</h2>
<ol>
<li>Registration for the Service is completed when an applicant agrees to these Terms, applies for registration by the method prescribed by the Company, and the Company notifies the applicant of its approval.</li>
<li>The Company may decline a registration application if it determines the applicant falls under any of the following, and has no obligation to disclose its reasons:
<ol>
<li>False information was submitted in the application</li>
<li>The application is from a person who has previously violated these Terms</li>
<li>The Company otherwise deems the registration inappropriate</li>
</ol>
</li>
</ol>
<h2>Article 3 (Management of User ID and Password)</h2>
<ol>
<li>Users shall manage their user ID and password for the Service at their own responsibility.</li>
<li>Users may not transfer, lend, or share their user ID and password with any third party under any circumstances. When a login matches the registered combination of user ID and password, the Company deems it use by the registered User.</li>
<li>The Company bears no liability for damage caused by third-party use of a user ID and password, except in cases of the Company's willful misconduct or gross negligence.</li>
</ol>
<h2>Article 4 (Sales Contract)</h2>
<ol>
<li>In the Service, a sales contract is formed when a User applies for a purchase and the Company notifies the User of its acceptance. Ownership of the product transfers to the User when the Company hands the product to the carrier.</li>
<li>The Company may cancel the sales contract without prior notice if the User falls under any of the following:
<ol>
<li>The User violates these Terms</li>
<li>Delivery cannot be completed due to an unknown address or extended absence</li>
<li>The Company otherwise determines that the relationship of trust with the User has been damaged</li>
</ol>
</li>
<li>Payment methods, delivery methods, order cancellation methods, return methods, and the like for the Service are governed by the methods separately prescribed by the Company.</li>
</ol>
<h2>Article 5 (Intellectual Property)</h2>
<p>Copyright and other intellectual property rights in product photographs and other content provided through the Service ("Content") belong to the Company and other rightful holders such as content providers. Users may not reproduce, repost, modify, or otherwise make secondary use of the Content without permission.</p>
<h2>Article 6 (Prohibited Acts)</h2>
<p>Users shall not engage in any of the following acts when using the Service:</p>
<ol>
<li>Acts that violate laws or public order and morals</li>
<li>Acts related to criminal activity</li>
<li>Acts that infringe copyright, trademark, or other intellectual property rights contained in the Service</li>
<li>Acts that destroy or interfere with the functions of the Company's servers or network</li>
<li>Commercial use of information obtained through the Service</li>
<li>Acts that may interfere with the operation of the Company's services</li>
<li>Unauthorized access or attempts thereof</li>
<li>Collecting or accumulating personal information of other users</li>
<li>Impersonating other users</li>
<li>Directly or indirectly providing benefits to antisocial forces in connection with the Company's services</li>
<li>Other acts the Company deems inappropriate</li>
</ol>
<h2>Article 7 (Suspension of the Service)</h2>

<li>The Company may suspend or interrupt all or part of the Service without prior notice to Users if it determines any of the following applies:
<ol>
<li>Maintenance, inspection, or updating of the computer systems for the Service</li>
<li>Force majeure such as earthquake, lightning, fire, power outage, or natural disaster makes provision of the Service difficult</li>
<li>Computers or communication lines stop due to an accident</li>
<li>The Company otherwise determines that provision of the Service is difficult</li>
</ol>
</li>
<li>The Company bears no liability whatsoever for any disadvantage or damage suffered by Users or third parties due to suspension or interruption of the Service, regardless of the reason.</li>
</ol>
<h2>Article 8 (Usage Restrictions and Deregistration)</h2>

<li>The Company may restrict a User's use of all or part of the Service or deregister a User without prior notice if the User falls under any of the following:
<ol>
<li>Violation of any provision of these Terms</li>
<li>Discovery of false information in the registration</li>
<li>The credit card registered as a payment method is suspended</li>
<li>Failure to perform payment obligations</li>
<li>No response to communications from the Company for a certain period</li>
<li>No use of the Service for a certain period since the last use</li>
<li>The Company otherwise deems the User's use of the Service inappropriate</li>
</ol>
</li>
<li>The Company bears no liability for any damage caused to Users by actions taken by the Company under this article.</li>
</ol>
<h2>Article 9 (Withdrawal)</h2>
<p>Users may withdraw from the Service through the prescribed withdrawal procedure.</p>
<h2>Article 10 (Disclaimer of Warranties and Limitation of Liability)</h2>
<ol>
<li>The Company does not warrant that the Service is free from de facto or legal defects (including defects in safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, or security, as well as errors, bugs, and rights infringements).</li>
<li>The Company bears no liability for any damage caused to Users by the Service. However, this disclaimer does not apply if the contract between the Company and a User regarding the Service (including these Terms) constitutes a consumer contract under the Consumer Contract Act. Even in that case, the Company bears no liability for damage arising from special circumstances (including cases where the Company or the User foresaw or could have foreseen the damage) among damage caused to Users by default or tort due to the Company's negligence (excluding gross negligence).</li>
<li>The Company bears no liability for transactions, communications, or disputes arising between Users and other users or third parties in connection with the Service.</li>
</ol>
<h2>Article 11 (Changes to the Service)</h2>
<p>The Company may change the contents of the Service or discontinue its provision without notice to Users, and bears no liability for any damage caused to Users thereby.</p>
<h2>Article 12 (Changes to the Terms)</h2>
<p>The Company may change these Terms at any time without notice to Users when it deems necessary. A User who begins using the Service after these Terms have been changed is deemed to have agreed to the changed Terms.</p>
<h2>Article 13 (Handling of Personal Information)</h2>
<p>The Company will appropriately handle personal information obtained through use of the Service in accordance with the Company's Privacy Policy.</p>
<h2>Article 14 (Notices and Communications)</h2>
<p>Notices and communications between Users and the Company shall be made by the method prescribed by the Company. Unless a User submits a change notification in the format separately prescribed by the Company, the Company deems the currently registered contact information valid, sends notices and communications to that contact, and such notices and communications are deemed to have reached the User at the time of sending.</p>
<h2>Article 15 (Prohibition of Assignment of Rights and Obligations)</h2>
<p>Users may not assign their contractual status or rights or obligations under these Terms to any third party, or offer them as security, without the Company's prior written consent.</p>
<h2>Article 16 (Governing Law and Jurisdiction)</h2>
<ol>
<li>These Terms are governed by the laws of Japan. The United Nations Convention on Contracts for the International Sale of Goods does not apply to the Service.</li>
<li>Any dispute regarding the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company's head office.</li>
